Terms of Service

1. Acceptance of Terms

By accessing or using Contexta ("Service"), operated by ROOT Platform ("we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a business, you represent that you have authority to do so.

These Terms are governed by the laws of India. If you do not agree to these Terms, do not use the Service.

2. Description of Service

Contexta is a WhatsApp AI automation platform that enables Indian small and medium businesses ("Tenants") to:

• Deploy AI-powered chatbots on their WhatsApp Business number
• Automatically generate product quotations in PDF format
• Manage leads, projects, and customer relationships via a web portal
• Configure business rules, product catalogs, and automated responses

The Service connects to WhatsApp via the WhatsApp Business Platform operated by Meta Platforms, Inc. Use of the Service is also subject to Meta's WhatsApp Business Policy and Commerce Policy.

3. Eligibility and Account Registration

• You must be at least 18 years old and have legal capacity to enter into contracts.
• You must be a registered business or sole proprietor operating lawfully in India (or your jurisdiction).
• You are responsible for maintaining the security of your account credentials.
• You must provide accurate information during onboarding. Providing false information may result in account suspension.
• One account per WhatsApp Business number. Accounts are non-transferable.

4. WhatsApp Business Platform Compliance

As a condition of using Contexta, you agree to comply with all Meta policies governing the WhatsApp Business Platform, including:

• Messaging opt-in: You must have obtained the necessary opt-in from customers before sending them WhatsApp messages. Contexta provides the infrastructure; the responsibility to obtain consent rests with you.
• Prohibited content: You must not use Contexta to send spam, illegal content, misleading information, or content that violates WhatsApp's policies.
• Message templates: Outbound messages beyond the 24-hour service window must use pre-approved WhatsApp message templates.
• Business verification: You may be required to complete Meta's Business Verification to access all features. Contexta is not responsible for Meta's verification decisions.

Violation of Meta's policies may result in your WhatsApp Business Account being suspended by Meta, which is outside our control. We are not liable for any loss resulting from Meta's enforcement actions against your account.

5. Acceptable Use

You agree not to use Contexta to:

• Send unsolicited bulk messages (spam)
• Harass, threaten, or deceive customers
• Distribute malware, phishing links, or illegal content
• Impersonate any person, business, or government entity
• Engage in illegal gambling, pyramid schemes, or financial fraud
• Sell or market controlled substances, weapons, or other prohibited goods
• Circumvent Meta's messaging policies or platform limits
• Attempt to reverse-engineer, scrape, or extract data from the platform
• Sublicense, resell, or white-label the Service without written authorisation

6. AI-Generated Content

Contexta uses AI (Anthropic Claude) to generate responses on behalf of your business. You acknowledge that:

• AI responses may occasionally be inaccurate, incomplete, or inappropriate.
• You are responsible for reviewing and configuring your bot's knowledge base and rules to ensure accuracy.
• You remain fully responsible for all messages sent from your WhatsApp Business number, whether AI-generated or manual.
• Contexta's AI does not provide professional legal, financial, or medical advice. If your business operates in a regulated sector, you are responsible for ensuring AI responses comply with applicable regulations.
• You should not rely solely on AI-generated quotations for binding commercial commitments without human review.

7. Data and Intellectual Property

Your Data

You retain all rights to your business data, product catalog, and customer information. By using Contexta, you grant us a limited licence to process this data solely to provide the Service.

Our Platform

All software, algorithms, templates, and platform infrastructure constituting Contexta is proprietary to ROOT Platform. You receive a limited, non-exclusive, non-transferable licence to use the Service during your subscription period.

Feedback

Any feedback, suggestions, or corrections you provide may be used by us to improve the Service without compensation or attribution.

8. Payment and Subscription

• Subscription fees are billed in advance (monthly or annually) as agreed during onboarding.
• Fees are non-refundable except as required by law or as explicitly agreed in writing.
• We may adjust pricing with 30 days' notice. Continued use after the notice period constitutes acceptance.
• Failure to pay may result in service suspension. Suspended accounts retain data for 30 days before deletion.
• All prices are in Indian Rupees (INR) and inclusive of applicable GST unless stated otherwise.

9. Service Availability and Limitations

We target 99% uptime but do not guarantee uninterrupted availability. Planned maintenance will be communicated in advance. We are not liable for downtime caused by:

• Meta / WhatsApp platform outages
• Third-party AI or cloud provider incidents
• Force majeure events
• Your misconfiguration of the Service

10. Limitation of Liability

To the maximum extent permitted by law:

• Contexta is provided "as is" without warranties of any kind.
• Our total liability to you for any claim shall not exceed the fees paid by you in the 3 months preceding the claim.
• We are not liable for indirect, incidental, consequential, or punitive damages, including lost revenue, lost customers, or data loss.
• We are not liable for actions taken by Meta against your WhatsApp Business Account.

11. Indemnification

You agree to indemnify and hold ROOT Platform harmless from claims, losses, and expenses (including legal fees) arising from: (a) your use of the Service in violation of these Terms; (b) messages sent from your WhatsApp Business number; (c) your violation of any third-party rights; (d) your violation of applicable law.

12. Termination

Either party may terminate the subscription at any time. Upon termination:

• Your access to the Service ceases at the end of the paid period.
• Your data is retained for 30 days then deleted (except where legal retention applies).
• We may immediately suspend accounts that violate these Terms or Meta's policies.

13. Changes to Terms

We may update these Terms periodically. Material changes will be notified via email to your registered account at least 14 days before taking effect. Continued use of the Service constitutes acceptance of the updated Terms.

14. Governing Law and Disputes

These Terms are governed by the laws of India. Any dispute shall first be subject to good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Bangalore, Karnataka. The language of arbitration shall be English.
